1. Definitions

"Website" means the FPD Vision European online store, including related webpages and digital services operated by FPD Vision.

"Products" means products offered for sale through the Website.

"Customer", "you", or "your" means any person who accesses the Website or purchases Products from it.

"Consumer" means an individual acting for purposes outside their trade, business, craft, or profession.

2. Scope and Changes to These Terms

2.1 These Terms apply to your use of the Website and to contracts for Products purchased through the Website.

2.2 Additional terms may apply to specific Products, promotions, services, or features. Where applicable, those additional terms will be clearly communicated before you complete your purchase.

2.3 We may update these Terms from time to time for legal, regulatory, security, technical, or operational reasons.

2.4 Updated Terms will apply prospectively from the date on which they are published. Changes will not alter the contractual terms applicable to an order that has already been accepted unless the change is required by applicable law or expressly agreed with you.

2.5 Personal data is processed in accordance with our Privacy Policy.

3. Eligibility and Account Registration

3.1 You must have the legal capacity required under applicable law to enter into a purchase contract. Where such capacity requires the consent or involvement of a parent or legal guardian, you may only place an order with the required consent or involvement.

3.2 You may create an account to manage orders or access certain Website features. Where available, you may also purchase Products without creating an account.

3.3 You must provide accurate, current, and complete information when creating an account or placing an order.

3.4 You are responsible for taking reasonable steps to keep your account credentials secure and for notifying us promptly if you become aware of unauthorized access to your account.

3.5 Nothing in this section makes you responsible for unauthorized activity that is not attributable to you or that results from circumstances for which we are responsible under applicable law.

4. Acceptable Use of the Website

You must not:

• use the Website for unlawful, fraudulent, harmful, or unauthorized purposes;
• attempt to gain unauthorized access to our systems, servers, accounts, or networks;
• interfere with the security or normal operation of the Website;
• introduce viruses, malware, or other harmful code;
• use automated systems to access or extract Website content in a manner that violates applicable law or our rights; or
• infringe the intellectual property or other rights of FPD Vision or third parties.

5. Product Information

5.1 We take reasonable steps to ensure that Product descriptions, specifications, images, prices, availability, and other Product information are accurate and up to date.

5.2 Product images are intended to represent the Product as accurately as reasonably possible. Minor, non-material differences may occur due to display settings, lighting, packaging changes, or manufacturing updates.

5.3 Any such difference does not affect your statutory rights where a Product does not conform to the contract, its description, or applicable legal requirements.

5.4 If we discover a material error in Product information or pricing, we will inform you as soon as reasonably possible and handle the matter in accordance with applicable law.

We will not charge you a higher price than the price you agreed to without your express agreement.

5.5 Product availability may vary by country. Our European online store currently serves customers in Germany, France, Italy, Spain, and the Netherlands.

6. Orders and Contract Formation

6.1 By submitting an order, you make an offer to purchase the Products shown in your order at the price and on the terms displayed before checkout.

6.2 After you place an order, you may receive an automated email confirming that we have received your order. An automated acknowledgement of receipt does not by itself constitute acceptance unless the communication expressly states that your order has been accepted.

6.3 A purchase contract is formed when we expressly confirm acceptance of your order or otherwise confirm that the Products have been dispatched, whichever occurs first.

6.4 We may decline an order for legitimate reasons, including Product unavailability, suspected fraud, payment authorization failure, obvious pricing errors, legal restrictions, or inability to deliver to the address provided.

6.5 If we cannot accept an order after payment has been taken, any amount paid for the affected Product will be refunded without undue delay using the original payment method unless otherwise agreed.

7. Prices and Payment

7.1 Product prices, applicable taxes, delivery charges, and the total amount payable will be displayed before you submit your order.

7.2 You will not be charged additional delivery fees or other charges that were not disclosed before you placed your order.

7.3 You must provide valid payment information and be authorized to use the selected payment method.

7.4 Payment services may be provided by third-party payment providers and may be subject to their own terms.

Nothing in third-party payment terms excludes or limits obligations that FPD Vision has to you under applicable law.

8. Shipping and Delivery

8.1 We currently deliver to: Germany, France, Italy, Spain, and the Netherlands.

8.2 Detailed information regarding delivery areas, processing times, estimated delivery times, and shipping arrangements is available in our Shipping Policy.

8.3 Unless a different delivery period has been agreed with you, Products will be delivered without undue delay and within the period required by applicable consumer law.

Delivery estimates displayed on the Website do not reduce your statutory rights in relation to delayed or failed delivery.

8.4 Unless applicable law provides otherwise, the risk of loss or damage passes to you when you or a third party designated by you, other than the carrier, takes physical possession of the Product.

8.5 If you independently appoint a carrier that was not offered by us, different rules concerning the passing of risk may apply under applicable law.

8.6 You are responsible for providing a complete and accurate delivery address.

9. Right of Withdrawal and Returns

9.1 Statutory 14-Day Right of Withdrawal

If you are a Consumer purchasing online, you generally have the right to withdraw from the purchase contract without giving any reason within 14 days, subject to any exceptions provided by applicable law.

For the purchase of goods, the withdrawal period expires 14 days after the day on which you, or a third party designated by you other than the carrier, acquire physical possession of the Product.

Where multiple Products from one order are delivered separately, the applicable withdrawal period will begin from receipt of the last Product where required by applicable law.

9.2 How to Exercise the Right of Withdrawal

To exercise your statutory right of withdrawal, you must inform us of your decision before the withdrawal period expires by making a clear statement.

You may use the Model Withdrawal Form at the end of these Terms, but use of the form is not mandatory.

9.3 Returning the Product

After notifying us of your withdrawal, you must send the Product back without undue delay and no later than 14 days from the day on which you communicate your decision to withdraw, unless otherwise provided by applicable law.

Our Customer Support team will provide the applicable return address or collection instructions.

Please do not return Products to our Hong Kong registered office unless our Customer Support team expressly instructs you to do so.

9.4 Product Inspection and Diminished Value

You may inspect and handle a Product to the extent reasonably necessary to establish its nature, characteristics, and functionality, in a manner comparable to what would normally be permitted in a physical store.

You may be responsible for any diminished value resulting from handling beyond what is reasonably necessary for this purpose, where permitted by law.

Opening the packaging or reasonably inspecting and testing an ordinary television or other electronic Product does not, by itself, remove your statutory right of withdrawal.

9.5 Return Costs

For a statutory withdrawal based solely on a change of mind, you are responsible for the direct cost of returning the Product where we informed you of this responsibility before purchase and applicable law permits us to require you to bear that cost.

For televisions and other bulky Products that cannot normally be returned by standard postal services, the estimated direct return or collection cost may be up to €150, depending on Product size and collection location, where this cost was properly disclosed before purchase.

You will not be responsible for return costs where the Product is defective, damaged during delivery, incorrect, or otherwise not in conformity with the purchase contract, or where applicable law requires us to bear the cost.

9.6 Refund Following Withdrawal

Where you validly exercise your statutory right of withdrawal, we will reimburse all payments received from you in relation to the withdrawn contract, including the cost of the least expensive standard outbound delivery option offered by us where required by applicable law.

We will make the reimbursement without undue delay and no later than 14 days from the day on which we are informed of your decision to withdraw.

We will normally make the reimbursement using the same payment method that you used for the original transaction unless you expressly agree otherwise.

You will not incur a fee from us as a result of the reimbursement.

For sales of goods, we may withhold reimbursement until we have received the returned Product or you have provided evidence that you have sent it back, whichever occurs first, where permitted by applicable law.

Additional delivery costs resulting from your choice of an express, premium, or other non-standard delivery method are not required to be refunded except where applicable law provides otherwise.

9.7 Voluntary 30-Day Return Policy

In addition to the statutory right of withdrawal, FPD Vision provides a voluntary return period of up to 30 days from the date of delivery for eligible Products purchased directly from the FPD Vision European online store.

Additional eligibility requirements apply to return requests made after the statutory 14-day withdrawal period and up to day 30.

The voluntary return policy is separate from and does not restrict, replace, or reduce your statutory withdrawal or legal guarantee rights.

9.8 Exceptions to the Right of Withdrawal

The statutory right of withdrawal may not apply where an exception expressly permitted by applicable law applies.

10. EU Legal Guarantee and Product Conformity

10.1 Consumers purchasing Products covered by European consumer law are entitled to the mandatory legal guarantee of conformity provided by applicable law.

10.2 For Consumers in the European Union, this includes a minimum 2-year legal guarantee for lack of conformity starting from delivery of the Product, subject to any longer period or more favourable protection provided by the mandatory law applicable in your country.

10.3 A Product may lack conformity if, for example, it is defective, does not match its description or agreed specifications, does not provide the functionality reasonably expected from a Product of its type, or otherwise fails to comply with the purchase contract.

10.4 Where a Product is not in conformity, you may be entitled to repair or replacement free of charge.

Where the applicable legal conditions are satisfied, you may also be entitled to an appropriate price reduction or termination of the contract and a refund.

10.5 For Products with digital elements, including connected smart devices, applicable requirements concerning software, firmware, security, or other updates necessary to keep the Product in conformity remain unaffected.

10.6 Any commercial warranty expressly offered by FPD Vision or a manufacturer is separate from and does not reduce your statutory legal guarantee rights.

11. Product Use and Damage

11.1 The statutory legal guarantee generally does not cover damage or faults caused after delivery solely by circumstances unrelated to an original lack of conformity, such as misuse, accidental damage, unauthorized modification, improper installation by the user, or failure to follow reasonable Product instructions.

11.2 Nothing in this section limits rights relating to defective instructions, installation for which the seller is legally responsible, or any other lack of conformity for which we remain responsible under applicable law.

To help us assist you efficiently, we may ask for information reasonably necessary to assess your request, including your order number, Product model, serial number, description of the issue, and relevant photos or videos where appropriate.

Failure to provide information that is not reasonably available to you will not automatically remove any mandatory statutory right.

13. Promotions and Discount Codes

13.1 Promotional offers, discount codes, or special campaigns may be subject to additional conditions that will be communicated with the offer.

13.2 Unless expressly stated otherwise, promotional codes cannot be exchanged for cash and may not be combined with other offers.

13.3 Promotional conditions do not restrict or reduce mandatory consumer rights.

14. Intellectual Property

14.1 Website content, including text, graphics, logos, Product images, videos, icons, designs, software, and layout, is owned by or licensed to FPD Vision or the relevant rights holder.

14.2 You may use Website content for personal and non-commercial purposes associated with browsing the Website or purchasing Products.

14.3 You may not reproduce, commercially exploit, distribute, modify, publish, or create derivative works from protected Website content without permission from the relevant rights holder, except where permitted by law.

14.4 Third-party trademarks, platform names, logos, and brand names remain the property of their respective owners.

15. Reviews, Feedback, and Customer Content

15.1 If you voluntarily submit a public review, comment, photo, video, or other content for publication on the Website, you confirm that you have the necessary rights to submit that content.

15.2 You grant us a non-exclusive, royalty-free license to display, reproduce, and technically adapt public review content as reasonably necessary to operate and promote the Website and Products, subject to applicable law.

15.3 Photos, videos, serial numbers, documents, or other information submitted privately for customer support will be processed for customer support, quality, legal, or compliance purposes as described in our Privacy Policy.

15.4 Private customer-support materials will not be used in public advertising or marketing solely because they were submitted to customer support. Where separate permission is required for such use, we will request it.

16. Data Protection and Cookies

16.1 We process personal data in accordance with applicable data protection laws and our Privacy Policy .

16.2 Where consent is required for marketing communications or non-essential cookies, we will request consent in accordance with applicable law.

16.3 You may manage available cookie choices through the Website's cookie settings where applicable.

17. Third-Party Websites and Services

17.1 The Website may contain links to third-party websites, applications, platforms, payment providers, or other services.

17.2 Third-party websites and services may be subject to their own terms and privacy policies.

17.3 We are not responsible for third-party content or services outside our control except where applicable law provides otherwise.

18. Website Availability and Security

18.1 We take reasonable technical and organizational measures to maintain the security and availability of the Website.

18.2 The Website may occasionally be unavailable due to maintenance, security updates, technical issues, or circumstances outside our reasonable control.

18.3 Nothing in this section excludes any obligation or liability that cannot lawfully be excluded.

19. Liability

19.1 FPD Vision's liability to Consumers is governed by applicable law.

19.2 Nothing in these Terms excludes or limits liability where an exclusion or limitation is prohibited by applicable law, including liability for fraud or fraudulent misrepresentation or any other liability that cannot legally be excluded or limited.

19.3 Nothing in these Terms limits or excludes your statutory rights concerning defective or non-conforming Products, refunds, withdrawal, delivery, product safety, or other mandatory consumer protections.

20. Governing Law and Consumer Rights

20.1 Subject to mandatory consumer protection rules, these Terms and contracts concluded through the Website are governed by the laws of Hong Kong.

20.2 If you are a Consumer habitually resident in a European Union Member State to which we direct our commercial activities, the choice of Hong Kong law does not deprive you of the protection provided by mandatory provisions of the law of your country of habitual residence that cannot be excluded by agreement.

20.3 Nothing in these Terms requires an EU Consumer to waive any mandatory jurisdiction, court access, consumer protection, or dispute resolution rights available under applicable law.

21. Complaints and Dispute Resolution

If you have a complaint concerning a Product, order, refund, or these Terms, please contact us first at support@fpdvision.com so that we can try to resolve the issue.

Nothing in this section limits any right you may have to use a competent court, consumer authority, alternative dispute resolution procedure, or another remedy available under applicable law.

22. Miscellaneous

22.1 If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

22.2 These Terms should be read together with the policies expressly incorporated or referred to in them, including our Shipping Policy, Return & Refund Policy , Privacy Policy, and EU Legal Guarantee Policy .

22.3 Our failure to enforce a provision of these Terms does not constitute a waiver of that provision or of any legal right.

22.4 We may transfer our rights or obligations where permitted by applicable law and where doing so does not reduce your mandatory consumer rights.
